1. Acceptance of Terms

By accessing or using Runtools.ai, operated by Runtools Inc. ("Runtools", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms govern the Runtools website, dashboard, APIs, SDKs, AI agent infrastructure, sandbox execution environments, workspace storage, tool integrations, and related services (collectively, the "Services").

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Services.

We may update these Terms from time to time by posting the updated Terms on this page and changing the "Last updated" date. Material changes may also be communicated through the Services or by email. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate account information, maintain the security of your credentials, promptly update your information, and accept responsibility for all activity under your account, organization, API keys, tokens, and connected integrations.

You must immediately notify us at [email protected] if you suspect unauthorized access, credential compromise, security incidents, or misuse of your account or resources.

3. Description of Services

Runtools provides infrastructure for building, running, and orchestrating AI agents and software workflows, including secure sandbox environments, persistent workspaces, tool execution, connected app integrations, workflow automation, APIs, SDKs, dashboards, and related capabilities. We may add, change, suspend, or remove features over time. Some features may be beta, experimental, usage-limited, or subject to additional terms, order forms, service descriptions, or data processing agreements.

4. Customer Content and Data Rights

"Customer Content" means code, prompts, files, workspace contents, sandbox inputs and outputs, agent configurations, workflow definitions, tool settings, uploaded documents, credentials, secrets, and other materials you submit to or process through the Services.

You retain ownership of Customer Content. You grant Runtools a limited, worldwide, non-exclusive license to host, store, process, transmit, display, copy, and otherwise use Customer Content only as necessary to provide, secure, support, troubleshoot, and improve the Services, comply with law, enforce these Terms, or as otherwise directed by you.

Unless you expressly opt in or direct us through a product feature, we do not use Customer Content, prompts, code, files, workspace contents, API keys, secrets, or execution outputs to train third-party foundation models or generalized Runtools AI models.

You are responsible for Customer Content and represent that you have all rights, permissions, notices, consents, and lawful bases needed to submit and process Customer Content through the Services.

5. AI, Tools, and Outputs

AI systems and tool executions can be inaccurate, incomplete, unsafe, delayed, or unexpected. You are responsible for reviewing, testing, validating, and supervising prompts, configurations, tool permissions, generated code, automated actions, and outputs before relying on them or deploying them in production.

You are responsible for third-party services, models, APIs, websites, and connected apps you use through Runtools. Your use of those services may be governed by separate terms, privacy notices, rate limits, permissions, and security requirements.

6. Security and Shared Responsibility

We implement reasonable administrative, technical, and organizational safeguards designed to protect the Services. You remain responsible for securely configuring your agents, workflows, sandboxes, workspaces, API keys, connected accounts, secrets, permissions, network access, and Customer Content.

You must not use the Services to process protected health information, payment card data, government identifiers, biometric data, children's data, or other sensitive regulated data unless we have entered into a written agreement that expressly permits that use. You are responsible for backups of Customer Content and for maintaining appropriate copies outside the Services where needed.

7. Acceptable Use

You agree not to, and not to permit others to:

  • Violate any law, regulation, third-party right, privacy right, data protection obligation, or contractual obligation.
  • Upload, generate, execute, transmit, or store malware, viruses, exploits, harmful code, illegal content, or infringing content.
  • Probe, scan, test, attack, or attempt to bypass the security or vulnerability of any Runtools system or third-party system without written authorization.
  • Gain or attempt to gain unauthorized access to accounts, systems, data, models, networks, or services.
  • Use the Services for spam, phishing, credential theft, fraud, impersonation, harassment, abuse, surveillance, or harmful automation.
  • Interfere with, disrupt, overload, degrade, or circumvent the Services, rate limits, usage restrictions, metering, security controls, or billing systems.
  • Reverse engineer, decompile, disassemble, scrape, copy, resell, sublicense, or commercially exploit the Services except as expressly permitted by law or by us in writing.
  • Remove, obscure, or alter proprietary notices, attribution, or security markings in the Services.
  • Use the Services to build or benchmark a competing product or service in a way that violates these Terms or our rights.
  • Share account credentials, API keys, tokens, or secrets with unauthorized parties.

8. Intellectual Property

8.1 Runtools Property

The Services, including software, infrastructure, design, features, interfaces, documentation, trademarks, logos, and other content, are owned by Runtools or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are transferred to you.

8.2 Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction, attribution, or compensation.

9. Confidentiality

Each party may receive non-public business, technical, financial, product, security, or other confidential information from the other party. The receiving party will use reasonable care to protect that information and will use it only to exercise rights or perform obligations under these Terms. Confidentiality obligations do not apply to information that is public through no breach, independently developed, rightfully received from a third party without confidentiality duties, or required to be disclosed by law.

10. Third-Party Services

The Services may link to or integrate with third-party services, models, applications, APIs, or websites. We do not control and are not responsible for third-party services. You are responsible for reviewing and complying with third-party terms, privacy notices, security requirements, and permissions before connecting or using them.

11. Payment and Billing

Certain features require payment or credits. You agree to pay all applicable fees, usage charges, taxes, and other amounts described when you purchase, subscribe, or use paid features. Fees are non-refundable unless required by law or stated otherwise. We may change pricing with reasonable notice. Failure to pay may result in suspension, downgrade, or termination of access.

12. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access immediately if we believe: your use creates a security, legal, operational, or reputational risk; you breach these Terms; payment is overdue; we are required to do so by law; or suspension is needed to protect the Services, users, or third parties.

Upon termination, your right to use the Services ceases immediately. We may delete Customer Content after a reasonable period subject to our retention policies, legal obligations, backups, security needs, and any written agreement. Sections that by their nature should survive will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.

13. Service Availability

We strive to maintain reliable Services, but we do not guarantee uninterrupted, error-free, secure, or loss-free operation. The Services may be unavailable due to maintenance, updates, incidents, third-party failures, capacity constraints, or circumstances beyond our control.

14. Export Compliance and Sanctions

You must comply with all applicable export control, sanctions, and trade laws. You may not use the Services in embargoed jurisdictions, by prohibited parties, or for prohibited end uses, including uses related to weapons, unlawful surveillance, or other restricted activities.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, ACCURACY, OR RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICES, AI OUTPUTS, TOOL EXECUTIONS, SANDBOXES, WORKSPACES, THIRD-PARTY SERVICES, OR GENERATED CODE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, COMPLIANT, OR SUITABLE FOR YOUR USE CASE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNTOOLS INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CUSTOMER CONTENT, SECURITY, BUSINESS, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID TO RUNTOOLS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

17. Indemnification

You agree to defend, indemnify, and hold harmless Runtools Inc. and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your use or misuse of the Services.
  • Your Customer Content, agents, tools, workflows, outputs, or connected integrations.
  • Your violation of these Terms or applicable law.
  • Your violation of any third-party right, privacy right, or data protection obligation.
  • Your security misconfiguration, credential compromise, or unauthorized use of your account or resources.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property, confidentiality, security, or unauthorized access matters.

19. General Provisions

  • Entire Agreement: These Terms, together with any incorporated policies, order forms, or written agreements, form the entire agreement between you and Runtools regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce a provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
  • Force Majeure: We are not responsible for delays or failures caused by events beyond our reasonable control.
